    User's Terms Of Use

    These Terms of Use ("Terms") govern access to and use of Codive's website(s), dashboards, learning platforms, trial/demo booking pages, and related services (collectively, the "Platform"), including live online classes, learning materials, assessments, communications, and support services (collectively, the "Services"). The Platform is owned and operated by Codive Tech Private Limited ("Codive", "Company", "we", "us", "our"), a company incorporated in India, with its registered office at 8/319, GOKUL EXTENSION, Anekal, Bangalore- 562106, Karnataka, India. By accessing the Platform, booking a demo, purchasing a plan, creating an account, or using any part of the Services, you confirm that you have read, understood, and agreed to these Terms.

    1) Definitions

    1.1 "Student" means the child/learner enrolled in a Codive program. 1.2 "Parent/Guardian" means the legal parent or legal guardian authorizing and paying for the Student's access, where applicable. 1.3 "User" means any person who visits, browses, registers, books, pays, communicates with Codive, or uses the Platform, including Parent/Guardian and Student. 1.4 "Teacher" means an instructor, mentor, trainer, or facilitator engaged by Codive to deliver classes. 1.5 "Credits/Classes" means prepaid class units, sessions, or any quantifiable service units purchased by a User. 1.6 "Third-Party Services" means external tools we may use for delivery and operations such as video conferencing, payments, analytics, communications, storage, and security.

    2) Eligibility and Acceptance (Minors)

    2.1 The Services are primarily designed for minors. A minor cannot form a legally binding contract in many cases. Therefore, a Parent/Guardian must accept these Terms on behalf of the Student wherever required under applicable law. 2.2 If you are a Parent/Guardian, you confirm that: (a) you are legally permitted to consent for the Student; (b) you authorize the Student to use the Platform; and (c) you accept responsibility for the Student's activities on the Platform. 2.3 If you do not agree to these Terms, you must not access or use the Platform or Services.

    3) Nature of Services

    3.1 Codive provides live online sessions, learning activities, assignments, notes/resources, project-based learning, and optional assessments, depending on the program purchased. 3.2 Some Services may involve group sessions. In group sessions, the pace, interaction time, and teacher attention are shared across the batch. 3.3 The Platform may evolve. Codive may introduce new programs, modify program structures, add or remove features, or change the learning flow, provided that such changes are made to improve delivery, compliance, or learner outcomes.

    4) Accounts, Access, and User Responsibilities

    4.1 You may be required to provide accurate information such as Parent/Guardian name, Student name, age/grade, email, phone number, timezone/location, and program selection. 4.2 You agree that all information you provide is accurate and kept up to date. You are responsible for activity performed through your registered contact details and account access. 4.3 You must not: (a) impersonate another person; (b) use false identity details; (c) attempt to access another user's account; (d) interfere with the Platform's normal functioning; (e) scrape, reverse engineer, or bypass security measures; or (f) use the Platform for unlawful purposes. 4.4 Codive may suspend or restrict access where we reasonably believe that: (a) there is misuse, fraud, abuse, or security risk; (b) the User violates these Terms or any policy; (c) the behavior creates risk to Students, Teachers, or the Company; or (d) suspension is required for compliance or safety.

    5) Class Delivery Requirements (Device, Internet, Environment)

    5.1 Online classes require stable internet and a compatible device. You are responsible for ensuring the required setup. 5.2 If the Student joins late due to device/internet issues on the User's side, class time may not be extended, unless Codive explicitly agrees otherwise. 5.3 Codive may recommend basic safety and learning environment standards (quiet space, respectful behavior, appropriate camera usage rules for minors, etc.). Parent supervision is strongly recommended for younger learners.

    6) Class Recordings (Safety, Quality, Dispute Resolution)

    6.1 Codive records online classes for purposes such as safety, quality assurance, teacher training, internal audits, dispute handling, and compliance. 6.2 By using the Services, the Parent/Guardian (and where legally required, the Student through Parent/Guardian) provides consent for such recordings. 6.3 Recordings are treated as confidential internal data unless: (a) sharing is required by law; (b) sharing is necessary to resolve a complaint/dispute; or (c) the Parent/Guardian provides explicit consent for showcase/public use. 6.4 Codive may provide access to recordings where the program plan includes it, or where legally required, or where it is necessary for issue resolution, subject to platform controls and verification.

    7) Scheduling, Rescheduling, No-Shows, and Class Management

    7.1 Class scheduling depends on teacher availability, program structure (1:1 or group), time zones, and operational capacity. 7.2 Rescheduling requests may be accepted based on the plan rules communicated at purchase or onboarding. Codive may: (a) require advance notice; (b) limit the number of reschedules; (c) treat last-minute reschedules as used credits. 7.3 No-show rules: if the Student does not join, or joins extremely late, Codive may treat the class as consumed, depending on the plan rules and the reason. Genuine emergencies may be reviewed case-by-case. 7.4 Teacher changes: Codive may replace or reassign teachers due to availability, performance, scheduling, safety, or operational reasons. Where feasible, we try to maintain continuity. 7.5 Codive may cancel or reschedule a class due to teacher unavailability, technical issues on Codive's side, or force majeure events. In such cases, the class will be rescheduled or credited back.

    8) Payments, Pricing, Taxes, and Gateways

    8.1 Pricing is displayed on the Platform or shared via official Codive communication channels. Prices may differ by country, currency, plan type, and batch format. 8.2 Payments may be processed via third-party payment gateways. Codive does not store full card details. Payment processors may collect information required to complete transactions. 8.3 You are responsible for any bank charges, gateway fees, currency conversion charges, or international transaction fees charged by your bank or payment method, unless Codive explicitly states otherwise. 8.4 Taxes (including GST or other applicable taxes) may apply depending on jurisdiction and billing structure.

    9) Refunds and Cancellations (Linked Policy)

    9.1 Refunds are governed by Codive's Refund Policy published on the Platform and incorporated into these Terms by reference. 9.2 If there is a conflict between these Terms and the Refund Policy regarding refunds, the Refund Policy will prevail for refund-related matters. 9.3 Initiating a payment dispute/chargeback without following Codive's official refund/support process may result in temporary suspension of access during investigation, to prevent misuse and ensure fair resolution.

    10) Communications Consent (Calls, WhatsApp, SMS, Email)

    10.1 By registering, booking a demo, purchasing a plan, or using the Platform, you consent to receive communications from Codive relating to: (a) onboarding and scheduling; (b) service updates; (c) class reminders; (d) support and issue resolution; (e) payment-related messages; and (f) program updates and offers (where permitted by law). 10.2 Communications may occur via email, phone calls, WhatsApp, SMS, and in-dashboard notifications. 10.3 You may opt out of non-essential promotional communications through the opt-out method provided in the message or by emailing Codive support. Essential service communications may still be sent.

    11) User Conduct, Student Safety, and Classroom Rules

    11.1 Users must maintain respectful behavior towards Students, Teachers, and Codive staff. 11.2 The following are prohibited: (a) harassment, bullying, discrimination, hate speech, sexual content, or threats; (b) disruptive behavior that affects class safety or learning; (c) requesting or sharing personal contact details of Teachers; (d) recording, distributing, or publishing class content without Codive's written consent; (e) sharing illegal content or encouraging wrongdoing. 11.3 Codive may suspend or terminate access where behavior threatens safety, violates these Terms, or harms the learning environment.

    12) Intellectual Property and Content Rights

    12.1 All Codive curriculum structures, lesson designs, recordings (as content), training frameworks, logos, brand assets, UI elements, and Platform content are owned by Codive or licensed to Codive, unless stated otherwise. 12.2 Users receive a limited, personal, non-transferable right to access learning content for educational use under the purchased plan. Users must not copy, resell, distribute, or commercially exploit Codive content. 12.3 Student-created projects generally belong to the Student. However, Codive may retain internal copies for academic records, grading, QA, and support. 12.4 If Codive wishes to publicly showcase a Student's project, name, image, or recording clip, we will seek Parent/Guardian consent (unless the content is anonymized and legally safe to use).

    13) Disclaimers (Outcomes, Tech Limitations)

    13.1 Codive provides educational services. We do not guarantee specific outcomes (grades, admissions, competitions, placements, or certifications from external bodies) unless explicitly promised in writing. 13.2 Technology may fail. Codive is not responsible for interruptions caused by third-party networks, device failures, internet outages, or external platform disruptions beyond our reasonable control. 13.3 The Platform is provided on an "as available" basis. Codive does not warrant uninterrupted availability.

    14) Limitation of Liability

    14.1 To the maximum extent permitted by law, Codive shall not be liable for indirect, incidental, special, or consequential damages including loss of profits, loss of data, or business interruption. 14.2 Codive's total liability, if any, shall be limited to the amount paid by the User for the specific Services giving rise to the claim during the relevant period, unless applicable law requires otherwise.

    15) Privacy and Data Protection

    15.1 Codive's Privacy Policy explains what data we collect, why we collect it, how we store/use it, and what rights you have. The Privacy Policy is incorporated into these Terms by reference. 15.2 By using the Platform, you confirm you have read and understood the Privacy Policy.

    16) Suspension and Termination

    16.1 Codive may suspend or terminate access if: (a) you breach these Terms or policies; (b) there is fraud, abuse, or misuse; (c) there is unsafe conduct; or (d) required by law or security needs. 16.2 Termination may result in loss of access to certain Platform features. Refunds, if any, will be handled under the Refund Policy.

    17) Changes to Terms

    17.1 Codive may update these Terms to reflect changes in Services, compliance requirements, or operational needs. 17.2 Updated Terms will be posted on the Platform with a revised "Last Updated" date. Continued use after updates means acceptance of the revised Terms.

    18) Governing Law and Jurisdiction

    18.1 These Terms are governed by the laws of India. 18.2 Courts at Bengaluru, Karnataka shall have exclusive jurisdiction over disputes arising from these Terms, subject to applicable law. (If you later want arbitration, we can add it cleanly as v2. For v1, this is simpler, cheaper, and easier to enforce.)

    20) Miscellaneous

    20.1 Severability: If any part of these Terms is held invalid, the rest remains effective. 20.2 No Waiver: Not enforcing a clause once does not waive the right to enforce it later. 20.3 Entire Agreement: These Terms + Privacy Policy + Refund Policy form the complete agreement for use of the Platform.
